Terms of Service

1. Agreement

These Terms govern use of the Help2Pay website and, together with each merchant's services agreement, the provision of payment services by Help2Pay.

2. Services

Help2Pay provides payment collection, disbursement and related services across supported Asian markets, as described on this website and detailed in the applicable merchant agreement.

3. Eligibility and onboarding

Use of the services requires completion of our KYB onboarding and ongoing compliance with our requirements. We may decline or discontinue service at our discretion where compliance standards are not met.

4. Merchant obligations

Merchants must provide accurate information, use the services only for lawful business activity in approved verticals, safeguard their credentials, and comply with applicable laws in each market they operate in.

5. Prohibited use

The services may not be used for any activity that is unlawful in a relevant jurisdiction, that violates sanctions, or that falls outside the merchant's approved business profile.

6. Fees and settlement

Fees, settlement schedules and currencies are set out in each merchant's services agreement.

7. Compliance and monitoring

Transactions are subject to monitoring, and we may suspend, delay or decline transactions to meet legal, regulatory or risk requirements.

8. Intellectual property

All website content, branding and platform technology remain the property of Help2Pay or its licensors.

9. Liability

To the maximum extent permitted by law, Help2Pay's liability in connection with the services is limited as set out in each merchant's services agreement, and Help2Pay is not liable for indirect or consequential losses. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

10. Termination

Either party may terminate in accordance with the merchant services agreement; obligations relating to funds, data and compliance survive termination.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which the contracting Help2Pay entity is established, as specified in the applicable merchant services agreement, and disputes are subject to the dispute-resolution process set out in that agreement.
